Read together with the other Legal Centre documents and the signed order. For relationships governed by Italian law, the Italian version prevails over the bilingual version unless otherwise agreed.
1. Parties, B2B scope and user authority
These Terms form the agreement between UESE ITALIA S.p.A., with registered office at Piazza Trivulziana 4/A, 20126 Milan (MI), Italy, VAT and tax code IT04398760274, REA MI 2679515 (“UESE”) and the legal entity, professional or organisation registering or activating ISOPILOT (“Customer”). The service is primarily intended for professional and business use. Anyone registering on behalf of an organisation represents that they are authorised to bind it and to issue data-processing instructions.
Where mandatory consumer or micro-enterprise rules apply, they prevail to the extent required by law. Special conditions in an offer or order prevail over these Terms in the event of an express conflict.
2. Key definitions
- Account: authenticated environment assigned to the Customer and its users.
- Plan: combination of standards, languages, users, projects, storage, AI credits, features and duration.
- Input: data, messages, specified websites and documents uploaded by the Customer.
- Output: analyses, drafts, manuals, procedures, metadata and other results generated or managed through ISOPILOT.
- Controlled document: logical document with code, status, revisions, approvals and history.
- AI Services: features using UESE or authorised providers’ artificial intelligence models.
3. Registration, verification and account security
The Customer must provide accurate information, keep contact and tax details current, appoint trusted administrators and prevent improper credential sharing. Email verification and QR-code two-factor authentication may be required. Passwords, recovery codes and authentication devices must be safeguarded with due care.
The Customer is responsible for its users’ activities and must promptly revoke access no longer required. Suspected unauthorised access must be reported without delay. UESE may apply session limits, blocks, additional checks and forced resets to protect the service.
4. 15-day free trial
Unless otherwise stated, the trial lasts 15 days from registration. During the trial the Customer may explore the consulting workflow and view protected PDF previews; downloads, editable exports, final publication and other paid features are disabled. Each page may display an “ISOPILOT” watermark.
UESE may limit trial volumes, AI models, storage and project count to prevent abuse. On expiry, the account may remain read-only for a technical period or be suspended. Paid activation requires a subscription and completion of payment through Stripe, PayPal, or verification of the bank transfer.
5. Plans, entitlements and changes
Available features depend on the Plan: ISO standards, languages, users and projects, storage, AI credits, consulting profiles, exports, support and term. Limits are enforced server-side and may not be circumvented. Features described as beta, roadmap or preview are not guaranteed until actually enabled.
The Customer may request new subscriptions or upgrades. A downgrade may impose limits at the next expiry; excess content remains subject to retention rules and may become non-editable until the Plan is adjusted.
6. Prices, recurring payments, invoices and activation
The Customer may pay through Stripe, PayPal or bank transfer under the conditions shown in the billing area or offer. For Stripe and PayPal, selecting a monthly, quarterly or annual plan authorises the automatic charge of the relevant amount at the end of each period until renewal is disabled or the subscription ends. The Customer is responsible for maintaining a valid payment method and keeping its details up to date.
Automatic renewal may be disabled from the customer area or through the tools provided by the gateway. Unless otherwise stated, disabling renewal does not refund a period already paid and takes effect according to the status communicated by the provider and the recorded period end date. For bank transfer, the Customer must use the unique reference and the subscription remains pending until UESE verifies receipt of funds.
Prices, taxes, term, expiry and commercial conditions are those in the order. Gateway outcomes are acquired through verified technical notifications; merely returning the browser from a payment page is not definitive evidence of payment. If a charge fails, is disputed, reversed or remains unpaid, UESE may suspend paid features and request settlement. Invoices and payment records available in the customer area are generated from Customer data and information received from the gateway, without prejudice to applicable tax obligations and any issuance through channels required by law.
7. Inputs, company sources and permissions
The Customer may upload corporate records, manuals, procedures, contracts, images, spreadsheets and other sources, and may specify websites for analysis. It warrants that it has the rights, legal basis and permissions to use such content, including personal data, trade secrets and third-party rights. Excessive or unnecessary data must not be uploaded.
Automatically extracted information may be incomplete, outdated or inconsistent. ISOPILOT may flag conflicts and request confirmation; the Customer remains responsible for validating official data, scope and organisational responsibilities.
8. AI Services, outputs and human oversight
AI Services may produce probabilistic, inaccurate, incomplete or similar content to that generated for other users. The Customer must review each Output before approval, publication, implementation or use in audits, tenders, legal decisions, safety, health, environment or other material activities.
The selected consultant name and level configure the assistant’s methodology and style; they do not mean that an identified individual personally drafted or approved the Output unless actual human review is documented. ISOPILOT does not guarantee certifiability, compliance or acceptance by certification bodies or authorities.
9. Document management, revisions and baselines
ISOPILOT may associate each document with a code, title, revision, status, author, reviewer, approver, reason, hash, PDF/DOCX files and relationships to other documents. Previous versions and baselines help reconstruct the system at a given time but do not replace the Customer’s internal processes for distribution, acknowledgement, retention and copy control.
Automatic changes or cross-document synchronisations must be confirmed. The Customer must assess impacts, consistency and applicability before publishing a new revision.
10. Rights in Inputs, Outputs and platform
The Customer retains rights in its Inputs. To the extent permitted by law and subject to payment, UESE grants the Customer the right to use generated Outputs for its internal or professional purposes. The Customer acknowledges that standard elements, formulae, structures and non-original content may not be exclusively owned.
UESE retains all rights in the software, interface, system templates, prompts, methods, taxonomies, libraries, layouts, components and general improvements. Feedback and suggestions may be used to improve the service without disclosing the Customer’s confidential information.
11. Confidentiality
Each party protects the other’s confidential information using measures at least equivalent to those applied to its own information of similar nature. Information may be shared with personnel and providers who need it and are bound by confidentiality. Information already known, publicly available without breach, lawfully received from third parties or independently developed is excluded.
Law or authority may require disclosure; where lawful, the affected party will be informed in advance. Personal data is specifically governed by the Privacy Notice and DPA.
12. Permitted use and restrictions
The Customer must comply with the Acceptable Use Policy. Prohibited activities include unauthorised access, circumvention of limits, malware, unauthorised scraping, rights infringements, unlawful or deceptive content, deceptive impersonation of professionals, fully automated high-impact decisions without safeguards, and uploading unlawfully obtained data.
UESE may investigate reports, restrict features, remove manifestly unlawful content or suspend accounts where reasonably necessary, preserving evidence and due process as applicable.
13. Support, maintenance and service changes
Support levels depend on the Plan. UESE may perform maintenance, security updates and changes required by regulatory or technological evolution. Where practicable, material changes reducing paid functionality will be notified in advance or addressed through a reasonably equivalent solution.
Third-party features, AI models and supported formats may change. UESE may replace components with reasonably equivalent alternatives for security, continuity, cost or compliance reasons.
14. Suspension and termination
UESE may suspend all or part of the service for non-payment, security risk, unlawful use, material breach, authority order or urgent protective need. Where possible, a cure period will be provided. The Customer may discontinue use at the end of the purchased term; amounts paid are non-refundable unless required by law or due to UESE’s breach.
On termination, the Customer must export data within any period made available. After the retention period, UESE may delete or anonymise content, subject to legal obligations, litigation holds, rolling backups or different DPA instructions.
15. Warranties and limitations
UESE provides the service with reasonable professional care and applies measures consistent with a SaaS service. Except as mandatorily required, it does not guarantee uninterrupted operation, absolute absence of errors, compatibility with every environment, business results, automatic compliance or acceptance of Outputs. The Customer is responsible for its infrastructure, connectivity, configuration, local backups and oversight.
16. Liability
To the extent permitted by law, neither party is liable for indirect loss, lost profits, opportunity, reputation or data loss avoidable through appropriate backups. Unless there is wilful misconduct, gross negligence, breach of non-excludable rights or different mandatory provision, UESE’s aggregate liability relating to a subscription period will not exceed the net amounts paid by the Customer in the twelve months preceding the event.
The Customer indemnifies UESE against third-party claims arising from unlawful Inputs, lack of permissions, use of Outputs without review or breach of the Acceptable Use Policy, to the extent attributable to the Customer.
17. Law, notices and contractual changes
The agreement is governed by Italian law, subject to mandatory rules applicable to the Customer. For B2B relationships, unless otherwise agreed, the courts of Milan have exclusive jurisdiction. Operational notices may be delivered in-account or by email; formal disputes must use channels capable of evidencing receipt.
UESE may update the Terms for regulatory, security or service-evolution reasons. Material changes are notified with reasonable advance notice and apply from renewal or the stated date; continued use constitutes acceptance to the extent permitted by law.
18. Packages, variables and commercial configurations
Published packages describe standard capacities and services, including distinct standards, users, projects, storage, AI credits, sites, clients, workflows, branding, support and service levels. The price and variables applicable to the Customer are those stated in the validated order, offer or subscription. Website comparisons facilitate selection but do not replace the accepted commercial document.
Annual terms are invoiced in one instalment unless otherwise agreed in writing. Bank-transfer activations, upgrades and renewals become effective after administrative payment validation.
