Terms of Service
1. Provider, scope and B2B nature
These Terms of Service govern access to and use of the IsoPilot SaaS platform, document modules, AI-assisted generation features, subscriptions, trials, professional add-ons and commercial packages purchased by the Customer.
IsoPilot is provided by UESE ITALIA S.p.A. and is intended for professional customers, companies, organisations, consultants, resellers and self-employed professionals. Unless expressly agreed otherwise, it is not intended for consumers.
2. Definitions
“Customer” means the professional entity subscribing to or using IsoPilot. “User” means an individual authorised by the Customer. “Platform” means the portal, software modules, document AI tools, archives and related features.
“Outputs” means drafts, manuals, procedures, registers, annexes, reports, checklists, PDF/DOCX/ZIP exports and documents generated or assisted through IsoPilot.
3. SaaS service
IsoPilot supports the preparation, organisation, review and export of ISO manuals, procedures, registers, occupational safety documents, DVR documentation, HACCP manuals and related support documents.
Features may evolve for technical, legal, security, product or commercial reasons while preserving a reasonably equivalent level of the essential purchased functionality.
4. Accounts, credentials and 2FA
Access is granted through personal credentials, roles, permissions and, where enabled or required, two-factor authentication. The Customer is responsible for account allocation, credential protection and timely revocation of access.
UESE ITALIA S.p.A. may suspend or limit access in case of abnormal use, security risk, unpaid fees, violation of these Terms or lawful requests from authorities.
5. ISO management system documents
IsoPilot may assist the creation of documents connected to ISO management systems, including ISO 9001, ISO 14001, ISO/IEC 27001, ISO 45001 and other available schemes.
Outputs are professional drafts and operational support tools. They do not constitute certification, legal advice, a third-party audit or a guarantee of compliance.
6. DVR and occupational safety documentation
DVR features support the collection of departments, roles, hazards, risk assessments, preventive measures, PPE, training, health surveillance where applicable, improvement actions, annexes and validation workflow.
IsoPilot does not replace inspections, measurements, RSPP, medical officer, safety consultant or employer responsibilities. DVR Outputs must be reviewed and validated by the competent roles under applicable law.
7. HACCP manuals
HACCP features support food businesses, including small, medium and industrial operators, in preparing self-control manuals, prerequisites, flow diagrams, hazard analysis, CCP/CP, registers, cleaning, traceability, allergens and corrective actions.
IsoPilot does not replace inspections, laboratory testing, public authorities, qualified consultants or the food business operator's legal obligations.
8. AI-assisted features and human oversight
IsoPilot may use AI and automation to extract information, classify content, generate drafts, suggest sections and detect missing items.
AI Outputs may contain errors or omissions. The Customer must carry out human review, professional verification and final validation before any operational, legal, audit, certification, DVR or HACCP use.
9. Customer data and responsibilities
The Customer warrants that Customer Data is lawful, accurate, up to date, relevant and uploaded with adequate rights and legal bases.
The Customer must review Outputs, correct errors, integrate missing information and ensure consistency with the actual organisation and applicable law.
10. Subscriptions, prices and offers
Plans, prices, limits, features, support, offers and promotional expiry dates are those stated in the commercial proposal, contract, checkout, billing panel or active plan sheet.
Offers may be subject to expiry, eligibility requirements, functional limitations or duration. After expiry, standard pricing or the communicated conditions apply unless otherwise agreed in writing.
11. Payments and billing
Fees are due according to the billing frequency, payment method, taxes and commercial terms of the purchased plan. Unpaid fees may result in reminders, suspension, restricted exports, account blocking or termination.
12. Trials, demos and public incentives
Trials, demos and free analyses may be limited by duration, exports, users, storage, documents and support. Any reference to public vouchers, grants or incentives is informational only and does not guarantee eligibility or award.
13. Intellectual property
UESE ITALIA S.p.A. grants the Customer a personal, non-exclusive, non-transferable and revocable licence to access and use the Platform for the subscription term and within the purchased plan limits.
Software, interfaces, code, templates, workflows, prompts, generation logic, trademarks and proprietary know-how remain owned by UESE ITALIA S.p.A. or its licensors.
14. Confidentiality
Each party shall keep confidential non-public technical, commercial, organisational, security and documentary information obtained in connection with the service.
15. Privacy and DPA
Where the Customer determines purposes and means of processing personal data uploaded to the Platform, UESE ITALIA S.p.A. normally acts as processor under Article 28 GDPR according to the applicable Data Processing Agreement.
16. Security, backup and logs
IsoPilot applies proportionate technical and organisational measures such as authentication, roles, controlled sessions, logs, audit trails, upload controls, backup and application hardening. Security remains a shared responsibility.
17. Support, SLA and maintenance
Support is provided according to the active plan, indicated channels and priority based on impact, urgency and criticality. Specific SLA terms apply only where contractually agreed.
18. Acceptable use
The Customer shall use IsoPilot lawfully and professionally. Abusive access, scraping, unauthorised reverse engineering, malware, phishing, unlawful content, fraud and attempts to compromise the service are prohibited.
19. Professional services
Consulting, custom configuration, training, migration, document review and specialist support are provided only where expressly included in the plan or a separate order.
20. Exclusions of warranty
IsoPilot does not guarantee ISO certification, successful audits, absence of sanctions, automatic DVR legal validity, HACCP approval, public grant award or specific commercial results.
21. Limitation of liability
To the maximum extent permitted by law, UESE ITALIA S.p.A. is not liable for indirect damages, loss of profits, loss of opportunity, Customer-caused data loss, third-party interruptions, unvalidated Outputs or consequences of inaccurate Customer Data.
22. Termination and data export
Upon termination, the Customer must export its documents within available time limits and stop using the Platform. Certain records may be retained for legal, tax, security, backup and legal defense purposes.
23. Third-party providers
The service may rely on providers for hosting, storage, email, payment, security, backup, monitoring, AI and support. Subprocessors are governed by the DPA and related documentation.
24. Notices and contractual form
Communications may be sent by email, certified email where available, platform notice, contractual document or other channels indicated by the Customer. Contracts may be concluded through paper signature, electronic signature, online acceptance, order, payment or account activation.
25. Governing law and jurisdiction
These Terms are governed by Italian law. Unless mandatory rules or the contract provide otherwise, the courts indicated in the contract or, failing that, the Court of Milan shall have exclusive jurisdiction.
26. Specifically approved clauses
Where Articles 1341 and 1342 of the Italian Civil Code apply, the Customer specifically approves clauses concerning limitations of liability, suspension, termination, unilateral changes, payments, exclusive jurisdiction, third-party providers, exclusions of warranty, output validation, prohibited uses and data retention/deletion.
27. Legal references
These Terms are coordinated with the Italian Civil Code, GDPR Regulation (EU) 2016/679, D.Lgs. 81/08 for occupational safety, Regulation (EC) 852/2004 for HACCP where applicable, Regulation (EU) 2024/1689 on artificial intelligence where applicable, eIDAS where relevant and IsoPilot legal documents.
